Terms and conditions

1) Definitions

"File Studio," "App," or "Software" means the File Studio desktop application, related website, updates, documentation, license services, and supporting systems.

"Company," "we," "us," or "our" means Comma Collective Pvt. Ltd.

"You" means the person or organization installing, purchasing, activating, or using File Studio.

"License Key" means the code issued to you after purchase or through an approved business/enterprise arrangement.

2) Acceptance

By downloading, installing, activating, purchasing, or using File Studio, you agree to these Terms and our Privacy Policy. If you use File Studio on behalf of an organization, you represent that you have authority to bind that organization.

3) License Grant

Subject to payment, successful activation where required, and compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use File Studio for lawful personal or internal business purposes.

• A standard license may be activated on up to two machines unless your plan or written agreement states otherwise.
• Licensed features may be limited by your plan or license entitlements. Current feature groups include image, PDF, spreadsheet, and SVG tools.
• Enterprise or volume deployments may use a separate license file or deployment process provided or approved by us.

4) Trial

File Studio may include a free trial. The current desktop app uses a 7-day trial that unlocks features during the trial period. Trial availability, duration, and limits may change. After the trial ends, export or conversion actions may require a valid license. You may not attempt to reset, bypass, or manipulate trial limits.

5) Activation, Machine Limits, and Certificates

License activation requires an internet connection. During activation, the app sends your License Key and a hashed machine identifier to our licensing service. If activation succeeds, the app receives a signed certificate and stores it locally so it can verify your license without contacting us for every use.

We may refuse activation if a key is invalid, revoked, abused, or has reached its machine limit. If you need help moving a license to another machine, contact support.

6) Updates

Plans may include updates for a limited period, such as one year from purchase, or for the period described at checkout. Your license certificate may include an update eligibility date. After that date, you may continue using the last version available to you, but future updates may require renewal or a new purchase.

We may release updates, bug fixes, security patches, or feature changes at our discretion. We may modify, remove, or discontinue features to improve reliability, security, compatibility, or legal compliance.

7) Payments, Taxes, and Refunds

Purchases are processed by Stripe or another payment provider shown at checkout. Their terms and privacy policies apply to payment processing. Prices, taxes, discounts, and plan terms may change for future purchases.

Unless a refund policy is expressly shown at checkout or required by law, purchases are final. If we offer a money-back guarantee, trial, or promotional refund window, the stated conditions for that offer apply.

8) Local Processing and Your Files

File Studio is designed to process files locally on your device. Your files remain yours. You are responsible for your files, for backing up originals, and for verifying outputs before relying on them.

Some tools alter, convert, compress, merge, split, repair, encrypt, decrypt, or remove metadata from files. You are solely responsible for using those tools lawfully and only on files you have the right to process.

9) Restrictions

You agree not to:

• Share, sell, rent, sublicense, publish, or transfer License Keys except as expressly permitted.
• Bypass licensing, trial limits, activation, signatures, machine limits, or update eligibility checks.
• Reverse engineer, decompile, or attempt to derive source code except where applicable law permits.
• Use File Studio to infringe rights, violate law, distribute malware, or process unlawful content.
• Use PDF unlock, protection, metadata, or repair tools to bypass legal access controls or rights you do not own.
• Interfere with our license service, update service, website, or payment systems.

10) Ownership

File Studio is licensed, not sold. We and our licensors retain all rights, title, and interest in the Software, website, branding, designs, documentation, license system, and updates. These Terms do not grant you any rights except the limited license described above.

11) Third-Party Components and Services

File Studio includes or interacts with third-party components and services, including open-source libraries, Tauri platform components, Stripe, Cloudflare, analytics, chat, and update infrastructure. Third-party software may be subject to separate licenses, notices, and terms.

12) Support

We provide support on a best-effort basis via support@filestudio.app. Support availability, response times, and channels may vary by plan and workload.

13) Termination

We may suspend, revoke, or terminate a license if you breach these Terms, abuse the license system, exceed permitted use, commit fraud, or create legal or security risk. You may stop using File Studio at any time by uninstalling it and deleting local app data. Upon termination, your right to use File Studio ends, but provisions that by their nature should survive will survive.

14) Disclaimers

FILE STUDIO IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AND AVAILABILITY.

File processing can produce unexpected results depending on file format, corruption, encryption, metadata, platform behavior, and third-party libraries. Always keep backups of important files.

15) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMMA COLLECTIVE PVT. LTD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, FILES, BUSINESS, OR GOODWILL; OR COSTS OF SUBSTITUTE SOFTWARE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO FILE STUDIO WILL NOT EXCEED THE AMOUNT YOU PAID FOR FILE STUDIO IN THE 12 MONTHS BEFORE THE CLAIM AROSE. Some jurisdictions do not allow certain limits, so some limits may not apply to you.

16) Indemnification

You will defend, indemnify, and hold us harmless from claims, damages, liabilities, losses, costs, and expenses arising from your files, your use of File Studio, your breach of these Terms, or your violation of law or third-party rights.

17) Export, Sanctions, and Compliance

You represent that you are not located in an embargoed country or on a restricted party list and that you will comply with applicable export, sanctions, tax, consumer protection, and data protection laws.

18) Changes to Terms

We may update these Terms from time to time. If a change is material, we will take reasonable steps to notify users, such as by posting the updated Terms or showing a notice in the app or on the website. Continued use after changes means you accept the updated Terms.

19) Governing Law

These Terms are governed by the laws of Singapore, without regard to conflict-of-law rules, unless mandatory law in your jurisdiction requires otherwise.
